Platform-Specific Terms

Contractor Independence

Contractors on the Zwivio platform are independent businesses, not employees, agents, or representatives of Zwivio LLC. Zwivio does not control, supervise, or direct contractors in the performance of their work. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between Zwivio and any contractor.

Verification Disclaimer

Zwivio attempts to verify contractor credentials including licenses and insurance documentation as part of the onboarding process. However, Zwivio does not guarantee the accuracy, authenticity, or continued validity of any submitted documentation. Contractors who submit fraudulent credentials bear sole legal responsibility for any consequences arising from such misrepresentation. Homeowners acknowledge that credential verification is performed on a best-efforts basis and does not constitute a warranty or guarantee of contractor qualifications.

Post-Assignment Liability

Once a job is officially assigned through the Zwivio platform, the service relationship is exclusively between the homeowner and the contractor. Zwivio is not a party to that relationship and bears no responsibility for the quality, safety, timeliness, or outcome of any work performed. Zwivio is not liable for property damage, personal injury, disputes over workmanship, or any other matter arising from the contractor's performance. Homeowners and contractors agree to resolve any service-related disputes directly between themselves.

Platform Fees and Refund Policy

Platform fees charged to contractors are generally non-refundable. However, Zwivio may issue automatic refunds in certain platform-defined scenarios as determined by Zwivio at its sole discretion. These scenarios may be updated at any time without notice.

All other refund requests are reviewed manually by Zwivio's operations team on a case-by-case basis. Manual refunds are never guaranteed. Refunds, where issued, may be provided as either a credit to the contractor's Zwivio platform wallet or as a return of funds to the original payment method on file, at Zwivio's sole discretion. The form of refund is not negotiable.

Contractors forfeit any eligibility for refund consideration if they: share or use homeowner contact information outside of the assigned job; violate Zwivio's contractor conduct standards; cancel a confirmed job assignment without valid reason; or engage in any behavior that harms the homeowner or Zwivio's platform integrity.

Refund requests must be submitted within 48 hours of the disputed charge by contacting Zwivio at [email protected]. Zwivio's decision on all refund requests is final.

Expedited Onboarding and Rescue Dispatch

In certain circumstances where automated routing has been exhausted and a homeowner requires urgent service, Zwivio's operations team may issue an expedited onboarding link to a contractor. This allows a contractor to accept and fulfill a job assignment before completing Zwivio's standard vetting and verification process.

Expedited onboarding links are issued solely at the discretion of Zwivio's operations team and are not available to contractors on request. Contractors onboarded via this process are subject to all applicable Terms. Once onboarded, expedited contractors may receive future job assignments unless their access is modified or revoked by Zwivio's operations team.

Zwivio makes no representations or warranties regarding the credentials, licensing, or insurance status of contractors who have not yet completed full verification. Homeowners will receive standard dispatch notifications only. Zwivio's standard liability limitations apply equally to jobs fulfilled through expedited dispatch.

Field Console

Field Console is Zwivio's contractor operations workspace. It provides tools for contractors to manage their own business operations, including contractor-created or company-booked jobs, contractor customer records, scheduling, technician assignment, service records, invoices, follow-ups, reports, customer status pages, and job or trip updates.

Field Console may be used for jobs that are not sourced through Zwivio marketplace dispatch, as well as for certain Zwivio-assigned jobs after official assignment. Field Console software and workflows are separate from Zwivio marketplace dispatch, routing, assignment fees, and lead distribution. Use of Field Console does not make Zwivio the seller or provider of contractor services.

Field Console Subscription

Access to Field Console requires an active Field Console subscription or trial, as described at signup or in the applicable plan. If a trial is offered, its length and terms will be described at signup. A valid payment method may be required before a trial begins. Unless otherwise disclosed at signup, You will not be charged the subscription fee until the trial period ends. You may cancel before the trial ends to avoid subscription charges, subject to the cancellation process described in the Service.

After any trial ends, Field Console subscription fees will be billed on a recurring basis at the then-current subscription rate for Your selected plan until You cancel. Plans may include an owner account plus a limited number of additional team members, as described in the applicable plan. Zwivio may update plan features, seat limits, and pricing with reasonable notice where required by law or as otherwise described in the Service.

Cancellation of a Field Console subscription does not cancel Your Zwivio marketplace contractor account or marketplace dispatch access; marketplace terms continue to apply independently to marketplace features You use.

Upon Field Console subscription cancellation, Your access to Field Console tools will end at the close of the current billing period or as otherwise described at cancellation. Zwivio may retain contractor Field Console data for a reasonable period to allow data export requests. Contractors may request a data export by contacting [email protected].

Field Console team member access is subject to plan seat limits as described in the applicable plan. Contractors may not circumvent seat limits by cycling team member access or sharing accounts. Removal of a team member's Field Console access may be subject to platform rules, including restrictions where that member has active or in-progress jobs assigned to them.

Field Console Communications

Field Console may support contractor-configured or automated follow-up messages after job completion, including review requests, where permitted by product settings and where consent has been obtained as required by applicable law. Contractors are responsible for ensuring their customer communications and review solicitation practices comply with applicable laws, platform rules, and third-party review platform policies. Zwivio does not send such messages on a contractor's behalf without appropriate product configuration and permitted use.

Contractor Customer Data in Field Console

Contractors retain ownership of customer data they enter into Field Console. Zwivio stores and processes this data to provide the Field Console service to that contractor, including backups, support, security, and service operation as described in Our Privacy Policy.

Zwivio does not use contractor customer data entered into Field Console for marketplace routing, marketplace lead generation, or unrelated marketing without appropriate authorization.

Customer and job operational data that contractors enter into Field Console for their own business records (such as customer contact details, service history, invoices, and service notes) is distinct from public or marketplace-facing Content that You post, upload, link to, or otherwise make available through the Service. The Content license in these Terms applies to Content as described under Content; it does not transfer ownership of contractor-entered Field Console customer records to Zwivio or grant Zwivio rights to use those records outside providing Field Console and related platform services.

Contractors are responsible for obtaining any notices, consents, and rights required to collect, use, and store their customers' information in Field Console.

Field Console Invoice Payments

Field Console may allow contractors to create and send invoices and, where enabled, to accept online invoice payments from their customers. For Field Console invoice payments:

  • Contractors are the sellers and service providers for the underlying field services and invoice charges.
  • Contractors are the merchant of record for Field Console invoice payments.
  • Customer invoice payments are payments to the contractor for contractor services, not payments of Zwivio marketplace assignment fees, quote unlock fees, or other Zwivio platform dispatch charges.
  • Zwivio provides invoice software, payment-link or checkout facilitation technology, and related platform services. Zwivio is not the seller of contractor services and does not guarantee contractor work, invoice accuracy, payment outcomes, refunds, chargebacks, or dispute outcomes.
  • Zwivio does not hold, escrow, guarantee, or control contractor invoice funds. Funds from enabled online invoice payments are processed to the contractor's connected payment account as described below and in applicable payment-provider terms.

Disputes regarding contractor services, invoice amounts, refunds, chargebacks, workmanship, timeliness, or service quality for Field Console jobs or invoices are between the contractor and the customer, except where applicable law requires otherwise. The Platform Fees and Refund Policy section above applies to Zwivio marketplace platform fees and related charges, not to contractor Field Console invoice payments unless expressly stated.

Stripe Connect for Field Console Payments

Contractors who enable online Field Console invoice payments must create or connect a Stripe Connect Express account and complete Stripe's onboarding requirements. Stripe's terms, privacy policy, and other applicable Stripe policies govern payment processing, identity verification, payouts, refunds, chargebacks, and disputes handled through Stripe.

Stripe may collect identity, business, tax, bank account, and payout information from contractors as required for payment processing and compliance. Stripe processing fees may be deducted from contractor invoice payments according to Stripe's pricing and the contractor's Stripe account settings.

Zwivio platform fees, Field Console subscription fees, and marketplace assignment or related platform charges are separate from Stripe processing fees for contractor invoice payments. Zwivio may display Stripe onboarding status, payment readiness, or related operational status to contractors and authorized support personnel for troubleshooting and service operation.

Tax Responsibility for Field Console

Contractors are solely responsible for determining, collecting, reporting, and remitting any taxes, duties, or similar governmental assessments related to their services, invoices, and payments collected through Field Console, including sales, use, or service taxes where applicable.

Zwivio does not provide tax advice. Tax or invoice settings, fields, or tools in Field Console are provided for contractor convenience only and do not make Zwivio responsible for a contractor's tax obligations or filings.

Stripe or other payment providers may provide tax forms, reporting, or withholding features where applicable under their own terms; any such forms or reports relate to the contractor's relationship with the payment provider and do not shift tax responsibility to Zwivio.

Field Console Without Marketplace Dispatch

Field Console may be made available to service businesses that do not participate in Zwivio marketplace dispatch or that are outside Zwivio's current marketplace trade or service categories. Access to Field Console, a Field Console subscription, or online invoice payment features does not guarantee marketplace job eligibility, lead volume, dispatch routing, trade expansion, verification status, or continued marketplace access. Marketplace terms in these Terms continue to apply only to marketplace features You use.

Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
